Welcome to Orange AI, a service provided by Emotion Software Development, LLC ("we", "us", "our"). By using Orange AI, you ("user", "client", "you") agree to these Terms of Service ("Terms"). These Terms govern your use of the Orange AI technology, platform, and services ("Services"). Please read them carefully.
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Services.
Emotion Software Development, LLC retains all rights, title, and interest in and to Orange AI and all intellectual property rights related to it, including but not limited to any software, technology, features, and updates developed during your use of the Services. Your use of Orange AI does not grant you any ownership rights to the technology or the content accessed through the Services.
Any improvements, enhancements, or modifications made to Orange AI as a result of the relationship between Emotion Software Development, LLC and the user shall remain the exclusive property of Emotion Software Development, LLC. By providing feedback, suggestions, or ideas to us, you agree that we may use them without any restriction or compensation to you.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You agree not to use the Services for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction.
You retain all rights to the data and content you provide to the Services. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your data to provide and improve our Services.
Orange AI operates on a Software as a Service (SaaS) subscription basis. Each Service is based on a per "seat" structure. The specifics of your subscription, including fees and billing cycles, will be detailed in your service agreement.
Payments are due in accordance with the terms set forth in your service agreement. Late payments may result in suspension or termination of your access to the Services.
You may terminate your account at any time by cancelling your service in the profile management section. Termination does not relieve you of any payment obligations that may have arisen prior to termination.
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include but are not limited to violation of these Terms or failure to pay subscription fees.
To the fullest extent permitted by law, Emotion Software Development, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; and (iii) any interruption or cessation of transmission to or from the Services.
These Terms are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Oklahoma.
We reserve the right to modify these Terms at any time. We will provide notice of such changes through the Services or by other means, such as email. Your continued use of the Services after such notice constitutes your acceptance of the revised Terms.
These Terms constitute the entire agreement between you and Emotion Software Development, LLC regarding the use of the Services and supersede any prior agreements between you and us.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
You agree not to reproduce, duplicate, copy, sell, trade, resell, lease, license, sublicense, or exploit for any commercial purposes any portion of the Services, use of the Services, or access to the Services without the express prior written consent of Emotion Software Development, LLC.
You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Emotion Software Development, LLC. Any attempt to do so without such consent will be null and void.
The Services provided to you are intended solely for your internal business purposes. You agree not to use the Services in any manner that could damage, disable, overburden, or impair the Services, or interfere with any other party's use and enjoyment of the Services.
Violation of this No Resale Clause may result in immediate termination of your access to the Services, and you may be subject to legal action for any damages incurred by Emotion Software Development, LLC due to unauthorized resale or transfer of the Services.
